The failure of Honeywell to enforce any provision of

this Agreement shall not be construed as a waiver or

limitation of Honeywell’s right to subsequently

enforce and compel strict compliance with every

provision of this Agreement.

If any provision of this Agreement is found to be

unlawful, void or unenforceable for any reason, then

that provision shall be deemed severed from this

Agreement and shall not affect the validity and the

enforceability of remaining portions of this

Agreement.

This Agreement shall be governed by the laws of the

State of New York without regard to conflicts of law

principles. The parties expressly agree to exclude

from this Agreement the United Nations Convention

on Contracts for the International Sale of Goods,

1980, and any successor thereto. The Federal and

State courts within the State of New York will have

exclusive jurisdiction to adjudicate any dispute

arising out of or related to this Agreement.
